Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GitHelp LLC ("GitHelp," "we," "us," or "our") governing your use of the GitHelp mobile application and website (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Platform.

Important: Section 12 of these Terms contains a binding arbitration agreement and class action waiver. Please read it carefully as it affects your legal rights.

1. The Platform

A. Overview

GitHelp is an online two-sided marketplace that connects homeowners and residents ("Customers") seeking home services with local independent service providers ("Workers") available to perform those services. Services available through the Platform include but are not limited to house cleaning, lawn care, window cleaning, sports coaching, and other home and personal services (each, a "Job").

Customers and Workers are collectively referred to as "Users." GitHelp does not perform Jobs, employ Workers, or supervise the performance of any Job. Workers are independent contractors who operate their own businesses and choose which Jobs to accept.

B. GitHelp's Role

GitHelp is a technology platform and marketplace, not an employment agency, staffing company, or contractor. GitHelp is not an employer of any User. Workers are not employees, agents, partners, or representatives of GitHelp.

GitHelp does not: (i) perform Jobs or employ individuals to perform Jobs; (ii) supervise, direct, control, or monitor Workers' performance; (iii) set Workers' hours, locations, or working conditions; (iv) provide tools, supplies, or equipment to Workers; or (v) guarantee the quality, timeliness, legality, or outcome of any Job.

GitHelp is not responsible or liable for workers' compensation, unemployment insurance, disability insurance, income tax withholding, Social Security contributions, or any other employment-related obligations with respect to Workers. Each Worker assumes full and sole responsibility for all applicable taxes, insurance, and legal compliance obligations arising from their work.

C. Worker Classification

Workers using the Platform are independent contractors, not employees of GitHelp or of any Customer. Workers retain the right to: (a) work for other platforms or clients without restriction; (b) accept or decline any Job at their sole discretion; (c) set their own work schedules subject to Job availability; and (d) operate under their own business name. Nothing in these Terms creates an employment, partnership, joint venture, agency, or franchise relationship between GitHelp and any Worker.

D. Job Pricing and Additional Hour Charges

All Job pricing on the Platform is set by GitHelp and displayed to Customers prior to posting a Job. Prices are fixed — Customers do not negotiate pricing with Workers, and Workers do not set their own rates. GitHelp retains a platform fee from each completed Job, and Workers receive the remainder as disclosed in the app.

Certain Jobs include a disclosed "2nd hour" rate shown to the Customer before posting as an informational notice only. No additional charge is applied unless: (i) the Worker requests an additional hour through the app after beginning the Job; and (ii) the Customer explicitly approves the request through the app. Approval is required before any additional charge is processed. Customers may decline the request at any time prior to approval.

Pricing may be updated by GitHelp at any time with notice provided through the Platform.

E. First-Come, First-Served Acceptance

Jobs posted by Customers are made available to eligible Workers in the relevant service area based on the Worker's current GPS location at the time Jobs are loaded. The first Worker to accept an available Job is assigned to it. GitHelp does not guarantee that any Job will be accepted or completed within any particular timeframe.

2. Eligibility and Account Registration

A. Eligibility

To use the Platform, you must: (i) be at least 18 years of age; (ii) have the legal capacity to enter into a binding contract; (iii) reside or operate in a service area supported by GitHelp; and (iv) comply with all applicable federal, state, and local laws. Workers must additionally be at least 18 years of age, as verified through Stripe Identity verification.

B. Account Creation

You must create an account to use the Platform, providing accurate and complete information including your name, phone number, email address, and service address. You agree to keep your account information current and accurate at all times. GitHelp reserves the right to suspend or terminate accounts with inaccurate, incomplete, or fraudulent information.

C. Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify GitHelp immediately at support@githelp.net if you suspect any unauthorized access to your account. GitHelp is not liable for any loss or damage arising from unauthorized use of your account.

D. Worker Identity Verification

All Workers must complete identity verification through Stripe Identity before accessing Jobs on the Platform. Workers must be 18 years of age or older. Workers who fail verification or are found to be under 18 will be blocked from the Platform. GitHelp reserves the right to require re-verification at any time.

E. Worker Background Check

All Workers are required to undergo a criminal background check administered through Checkr, Inc. ("Checkr") as a condition of platform access. The background check includes a national criminal search, sex offender registry search, global watchlist search, and SSN trace. Workers must provide consent and any required information directly to Checkr through Checkr's secure portal. GitHelp does not collect or store Workers' Social Security numbers or other sensitive identity documents.

GitHelp reviews background check results and makes the final determination on Worker approval. Workers whose background checks return disqualifying results will be denied platform access and notified in accordance with the Fair Credit Reporting Act (FCRA). Pre-adverse and adverse action notices will be sent to the Worker's registered email address from support@githelp.net. Workers have the right to dispute inaccurate background check results directly with Checkr.

F. Worker Manual Approval

Completion of onboarding, identity verification, and background check does not guarantee platform access. GitHelp reserves the right to manually review and approve all Worker applications before granting access to Jobs. Workers will be notified via push notification when their application is approved. GitHelp may decline any application at its sole discretion.

G. Worker Integrity Screening

Workers must complete GitHelp's integrity screening process during onboarding, which includes acknowledgment of platform standards, conduct expectations, and disqualifying conditions. Workers who provide false information during screening may be permanently banned from the Platform.

H. Worker Location Consent

By using the Platform as a Worker, you consent to GitHelp using your device's current GPS location to determine which Jobs are available within your service radius. Location is used solely to match Workers with nearby Jobs and is not stored or shared beyond this purpose.

3. Jobs and Service Agreements

A. Posting a Job

Customers may post Jobs through the Platform by selecting a service category, providing relevant details, and authorizing payment. Before posting, Customers are required to upload a photo of the area or item that needs work. This photo is shared with the assigned Worker to help them assess the complexity of the Job prior to acceptance. Photos are not shared publicly and are purged after the Job is closed.

By posting a Job, the Customer represents that all information provided is accurate and complete, including the service address, access requirements, and any relevant conditions at the Job location.

B. Accepting a Job

When a Worker accepts a Job, a service agreement is formed directly between the Customer and the Worker ("Service Agreement"). GitHelp is not a party to any Service Agreement. The Worker agrees to perform the Job as described, and the Customer agrees to provide accurate information and reasonable access to the Job location.

C. Worker Commitments

By accepting a Job, Workers commit to: (i) arriving at the scheduled time or within the agreed window for ASAP Jobs; (ii) performing the Job professionally and as described; (iii) uploading a before photo within 60 minutes of acceptance for ASAP Jobs; (iv) completing the Job or notifying the Customer through the app if unable to complete; and (v) communicating exclusively through the in-app chat.

If a Worker determines that additional time is required to complete a Job, the Worker may request an additional hour through the app. The Customer will be notified and must approve before any additional charge is applied.

D. Customer Commitments

Customers agree to: (i) upload an accurate photo of the work area before posting a Job; (ii) provide accurate Job descriptions and service addresses; (iii) be present or provide access at the agreed time; (iv) provide any supplies or equipment as indicated in the Job posting; (v) respond promptly to additional hour requests from Workers; and (vi) treat Workers professionally and respectfully.

E. Job Rejection by Worker

A Worker may reject an accepted Job only for legitimate reasons including unsafe conditions, animal hazards, or other circumstances that make completion impossible or unreasonable. Workers who reject Jobs must provide a reason through the app. Repeated or unwarranted Job rejections may result in account suspension or termination.

F. No Off-Platform Transactions

All Job payments must be processed exclusively through the Platform. Users are prohibited from arranging off-platform payments, exchanging personal contact information for the purpose of bypassing the Platform, or soliciting direct business relationships outside of GitHelp. Violations may result in immediate account termination.

G. Worker Liability for Services Performed

Workers are solely and exclusively responsible for the manner, method, quality, and outcome of all services they perform through the Platform. GitHelp is not a general contractor, co-employer, or merchant of record. Workers accept full legal responsibility for: (i) any property damage caused during the performance of a Job, whether accidental or negligent; (ii) any bodily injury caused to any person, including Customers, household members, or bystanders, during or as a result of a Job; (iii) any theft, loss, or damage to Customer property occurring during a Job; (iv) any failure to perform a Job in a workmanlike manner; and (v) any violation of applicable laws, regulations, or licensing requirements in connection with a Job.

GitHelp expressly disclaims any liability for the acts, omissions, or negligence of any Worker. Customers acknowledge they are hiring Workers directly and assume the associated risks.

H. Worker Indemnification of GitHelp

In addition to the indemnification obligations in Section 10D, each Worker agrees to indemnify, defend, and hold harmless GitHelp LLC and its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) any Job performed or attempted by the Worker through the Platform; (ii) the Worker's negligence, misconduct, or failure to perform services in a safe and workmanlike manner; (iii) any property damage or bodily injury caused by the Worker during a Job; (iv) the Worker's violation of any applicable law, regulation, or licensing requirement; (v) any misrepresentation made by the Worker regarding their qualifications, credentials, or experience; or (vi) any claim by a third party — including household members, guests, or bystanders — arising from the Worker's presence at or conduct during a Job.

This indemnification obligation survives termination of the Worker's account and these Terms.

4. Payments, Fees, and Payouts

A. Customer Payment

Customers are required to have a valid payment method on file before posting a Job. Payment is authorized (held) when a Job is posted and captured when a Worker accepts the Job. All payments are processed through Stripe. By using the Platform, you agree to Stripe's Terms of Service.

B. Additional Hour Charges

If a Worker requests an additional hour and the Customer approves through the app, the additional hour charge (as disclosed in the Job posting) will be processed immediately upon approval. Additional hour charges are non-refundable once approved, except in cases of verified dispute. Customers are not charged for additional hour requests they decline.

C. Cancellation and Refunds

Customers may cancel an open Job (not yet accepted) at any time for a full refund of the authorized hold. Customers may cancel an assigned Job (already accepted by a Worker) for a full refund, but the Worker will be notified and the Job will be returned to open status. Refund processing times depend on your card issuer and may take 5–10 business days.

D. Disputes

Customers may initiate a dispute within 24 hours of Job completion if they believe the Job was not completed as described. GitHelp will review the dispute, including any before and after photos submitted by the Worker and the customer job photo submitted at posting. GitHelp's decision on disputes is final. If a dispute is resolved in the Customer's favor, a full or partial refund will be issued. If no dispute is filed within 24 hours of completion, the Worker's payment will be released automatically.

E. Worker Payouts

Workers receive their earnings via Stripe Connect after the 24-hour dispute window closes with no open dispute, or after a dispute is resolved in the Worker's favor. Workers must complete Stripe Connect onboarding to receive payouts. GitHelp is not responsible for delays caused by Stripe or banking institutions.

F. Worker Onboarding Fee

Workers are subject to a total onboarding fee of $30.00, collected in three installments of $10.00 each, automatically deducted from the Worker's first three job payouts. This fee covers the cost of background check processing, identity verification, and a complimentary GitHelp window sticker. Workers are clearly informed of this installment structure during onboarding and must acknowledge it before proceeding. After three jobs, no further onboarding deductions are made.

G. Platform Fee

GitHelp retains a platform fee from each completed Job. The Worker's earnings and the platform fee are disclosed within the app. GitHelp reserves the right to modify platform fees with reasonable notice provided through the app or by email.

5. User Conduct and Acceptable Use

All Users agree to use the Platform lawfully, professionally, and in good faith. The following conduct is strictly prohibited:

GitHelp reserves the right to remove any User from the Platform for violations of these standards, with or without prior notice, at GitHelp's sole discretion.

6. Content Moderation and User Reporting

A. Reporting

Users may report concerns about other Users, including inappropriate behavior, fraud, or safety issues, through the in-app reporting feature. GitHelp reviews all reports and reserves the right to suspend or ban any User found to have violated these Terms.

B. Blocking

Customers may block Workers from appearing on future Job postings. Blocked Workers will not be able to accept Jobs from the Customer who blocked them. GitHelp is notified of all reports and blocks.

C. GitHelp's Response

GitHelp reserves the right, but is not obligated, to investigate, remove, or act upon reported content or conduct. GitHelp may share information about Users with law enforcement if required by law or if GitHelp believes there is an imminent risk to safety.

D. Ratings and Reviews

Customers may rate Workers upon Job completion, and Workers may rate Customers upon Job completion. Ratings reflect the opinion of the rating party and are not verified or endorsed by GitHelp. Both parties agree to provide honest, good-faith ratings. GitHelp reserves the right to remove ratings that violate these Terms or are found to be fraudulent or retaliatory.

7. Worker Licensing, Credentials, and Compliance

Workers are solely responsible for obtaining and maintaining all required licenses, permits, registrations, and insurance for the services they offer through the Platform.

For certain Job categories (including but not limited to Plumbing, Electrical, and HVAC), Workers must acknowledge that they hold the required licenses before accepting those Jobs. Providing false licensing acknowledgments is grounds for immediate permanent ban and may expose the Worker to civil and criminal liability.

Sports Coaching Credentials

Workers offering sports coaching services through the Platform are required to disclose whether they hold a recognized coaching certification for each sport they select. Workers who indicate they are certified must provide the name of their certification. Workers who are not certified must provide a professional reference — including name and contact number — who can attest to their coaching experience and qualifications.

GitHelp reviews all submitted credentials and references as part of the Worker approval process and makes reasonable efforts to verify sports coaching qualifications. Workers who misrepresent their coaching credentials are subject to immediate permanent ban and may be subject to civil liability.

Background Checks

All Workers undergo a background check through Checkr as described in Section 2E. GitHelp reviews background check results but does not independently guarantee the absence of all disqualifying history. Customers are responsible for exercising their own judgment regarding specialized or sensitive work performed in or around their home.

8. Privacy and Data

GitHelp collects and uses personal information as described in the GitHelp Privacy Policy. By using the Platform, you consent to the collection and use of your information as described therein.

Customer addresses are not shared with Workers until a Job is accepted. Job photos uploaded by Customers at posting are shared only with the assigned Worker and used solely to help the Worker assess the Job. After a Job is completed and the 24-hour dispute window closes, personal information including addresses, photos, and chat messages are purged from the Platform.

GitHelp uses Stripe for payment processing, Stripe Identity for Worker verification, and Checkr for background checks. By using these features, you agree to the applicable privacy policies and terms of service of these third-party providers.

Workers consent to their current device GPS location being used by the Platform to match them with available Jobs within their service radius. Location data is used in real time and is not stored beyond the active session.

9. Intellectual Property

The Platform, including all content, design, logos, software, and technology, is owned by GitHelp LLC and protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without GitHelp's prior written consent.

The GitHelp name, logo, and tagline "Your time. Your terms." are trademarks of GitHelp LLC and may not be used without express written permission.

By submitting content to the Platform (including photos, ratings, or chat messages), you grant GitHelp a non-exclusive, royalty-free, worldwide license to use, display, and store that content solely for the purpose of operating the Platform.

10. Disclaimers and Limitation of Liability

A. No Warranty

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. GitHelp does not warrant that the Platform will be error-free, uninterrupted, or free from harmful components.

B. No Liability for Jobs

GitHelp is not responsible or liable for the quality, safety, legality, or outcome of any job performed through the Platform. Workers are independent contractors who are solely responsible for their own acts and omissions. GitHelp does not supervise, direct, or control any Worker's performance of any Job. Background checks and credential reviews reduce but do not eliminate risk. In no event shall GitHelp be liable for any property damage, bodily injury, theft, or other harm caused by a Worker during the performance of a Job. Customers hire Workers at their own risk.

C. Limitation of Liability

To the fullest extent permitted by applicable law, GitHelp and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to lost profits, property damage, personal injury, or data loss. If GitHelp is found liable notwithstanding the foregoing, GitHelp's total aggregate liability to any User shall not exceed the total fees paid by or to that User through the Platform in the three (3) months preceding the claim.

D. Indemnification

You agree to indemnify, defend, and hold harmless GitHelp LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Platform; (ii) your violation of these Terms; (iii) your violation of any applicable law; (iv) any Job you post, accept, or perform; or (v) any content you submit to the Platform.

11. Account Suspension and Termination

GitHelp reserves the right to suspend, limit, or permanently terminate any User account at any time, with or without notice, for violations of these Terms, fraudulent activity, safety concerns, failed background checks, or any other reason GitHelp deems appropriate in its sole discretion.

Users whose accounts are terminated may not create new accounts under different names, phone numbers, or contact information. Circumventing a ban is grounds for permanent exclusion from the Platform.

You may delete your account at any time through the Settings screen in the app. Account deletion is permanent. Any pending payouts owed to Workers will be processed prior to deletion. Any authorized payment holds will be released upon Customer account deletion.

GitHelp reserves the right to pursue appropriate legal remedies for violations of these Terms.

12. Dispute Resolution — Binding Arbitration

Please read this section carefully. It requires you to resolve disputes with GitHelp through binding arbitration on an individual basis and waives your right to a jury trial or class action lawsuit.

A. Agreement to Arbitrate

Except as provided below, you and GitHelp agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any Job, or your relationship with GitHelp (collectively, "Disputes") will be resolved exclusively through final and binding arbitration, rather than in court. This Arbitration Agreement is governed by the Federal Arbitration Act.

B. Class Action Waiver

You and GitHelp each waive the right to participate in any class action lawsuit, class-wide arbitration, or any other representative proceeding. All Disputes must be brought on an individual basis only. The arbitrator has no authority to consolidate claims or preside over any class or representative proceeding.

C. Arbitration Process

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org. The arbitration will be conducted by a single arbitrator. For claims under $10,000, GitHelp will pay all AAA filing and arbitration fees unless the claim is found to be frivolous. Hearings may be conducted remotely or in Macomb County, Michigan.

D. Exceptions to Arbitration

The following claims are excluded from this Arbitration Agreement: (i) small claims court actions brought on an individual basis within the court's jurisdictional limits; (ii) claims for injunctive or equitable relief to protect intellectual property rights; and (iii) claims that applicable law expressly requires to be resolved in court.

E. Opt-Out

Workers may opt out of this Arbitration Agreement by sending written notice to GitHelp LLC within 30 days of first agreeing to these Terms. Opt-out requests must be sent by email to support@githelp.net with the subject line "Arbitration Opt-Out" and must include your full name, phone number, and a clear statement that you wish to opt out.

F. Governing Law

These Terms and all Disputes are governed by the laws of the State of Michigan, without regard to conflict of law principles, except where the Federal Arbitration Act applies to arbitration provisions.

G. Venue

For any Disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Macomb County, Michigan.

13. Changes to These Terms

GitHelp reserves the right to update or modify these Terms at any time. We will notify Users of material changes by posting an updated version in the app or by sending a notification. Your continued use of the Platform after such notice constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.

14. General Provisions

A. Entire Agreement

These Terms, together with the GitHelp Privacy Policy, constitute the entire agreement between you and GitHelp with respect to the Platform and supersede all prior agreements and understandings.

B. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all remaining provisions will continue in full force and effect. The Class Action Waiver in Section 12 is non-severable from the Arbitration Agreement — if it is found unenforceable, the Arbitration Agreement shall also be void.

C. No Waiver

GitHelp's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

D. Assignment

You may not assign or transfer your account or any rights under these Terms without GitHelp's prior written consent. GitHelp may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice provided to Users.

15. Pet & Animal Safety

🐾 Worker Safety Policy: By posting any job on GitHelp, customers agree to secure all pets and animals that may pose a risk to the worker. This acknowledgment is required and recorded with every job submission.

A. Customer Obligation to Secure Animals

By posting a Job through the GitHelp platform, the Customer agrees to secure all dogs, cats, and any other animals that may pose a physical risk, distraction, or safety concern to the Worker prior to the Worker's arrival at the job site. This includes but is not limited to:

B. Worker's Right to Refuse or Discontinue Work

Any GitHelp Worker has the right to refuse to begin, or to immediately discontinue, any Job if they encounter an unsecured animal that poses a safety risk. In such cases:

C. Liability for Animal-Related Incidents

GitHelp LLC assumes no liability for any injuries, damages, or losses sustained by a Worker as a result of an unsecured or aggressive animal at a Customer's property. The Customer assumes full responsibility for any harm caused by their animals to GitHelp Workers.

D. In-App Acknowledgment

Prior to posting any Job, Customers are required to check a Pet Safety Agreement checkbox within the GitHelp app confirming that they agree to secure all pets that may pose a risk to the Worker. This acknowledgment is recorded with each Job submission and constitutes the Customer's binding agreement to the terms of this section.

16. Sports Coaching

A. Nature of Sports Coaching Services

Sports coaching Jobs connect Customers with independent coaches for individual or small-group instruction. Coaching sessions are priced at a flat rate set by GitHelp. The first session is 40 minutes. If an additional hour is requested by the coach and approved by the Customer, that session is 50 minutes.

B. Session Location

Sports coaching sessions take place at the Customer's home address as listed in the Job posting unless both parties mutually agree to an alternate location via in-app chat. GitHelp is not responsible for transportation arrangements or for any issues arising from sessions held at alternate locations.

C. Credential Verification

GitHelp reviews coaching credentials and references submitted during Worker onboarding as part of the manual approval process. GitHelp makes reasonable efforts to verify claimed certifications and contact provided references. Customers are encouraged to ask coaches about their specific qualifications through in-app chat before the session begins.

D. Liability Disclaimer

Sports coaching involves physical activity and inherent risk of injury. By booking a sports coaching session, Customers acknowledge and accept these risks. GitHelp LLC assumes no liability for injuries, accidents, or adverse health outcomes sustained during or as a result of a coaching session. Workers are independent contractors and are solely responsible for obtaining any applicable liability insurance. Customers with pre-existing medical conditions are advised to consult a physician before participating in any physical activity arranged through the Platform.
